隨著科技發展一日千里,商業競爭在全球化下催化,如此激烈之競爭下,營業秘密乃各企業多年嘔心瀝血產出的結晶,更是作為商場常勝軍之關鍵。營業秘密小則影響企業之興衰,大至涉及一國之經濟繁榮,再加之全球化下國際私法上之營業秘密侵害屢見不鮮,不可不慎。故本文以國際私法上營業秘密侵害可能產生之法律問題為核心,先分析實體法上營業秘密之特性及與民法等其他法領域之交錯問題後,再分析當發生之人、事、地、物有一含有涉外因素時,其國際裁判管轄與準據法應如何決定。 首應對營業秘密之性質為定性,亦即探討營業秘密為權利或利益之性質爭議是否影響如何認定國際裁判管轄權及準據法?本文認為為更完善智慧財產權之保護架構,對

於營業秘密之性質爭議應認定為權利,惟營業秘密之性質爭議不影響國際裁判管轄權之認定及準據法。 關於涉外營業秘密之國際裁判管轄之認定,本文採法理說下,並參考受國際矚目的2008年美國ALI原則及2011年歐洲CLIP原則之相關規範,涉外營業秘密不論為侵害事件或確認權利存否事件,皆為非專屬管轄,而其中尤其容易涉及侵權行為地及契約債務履行地管轄之認定。進而本文分析得出,侵害營業秘密之行為實施地主要有以不正當方法取得、使用及洩漏營業秘密之地有管轄權。另外,常見的營業秘密契約爭議係違反保密契約,依據特徵性履行理論,性質為單務契約之保密契約中唯一負有給付義務(保密義務)之人的給付,即為特徵給付,而負擔保

密義務之員工之慣常居住地即推定為關係最密切之地,具有國際裁判管轄權。 關於準據法之認定,就涉外侵害營業秘密事件應定性為侵權行為事件,而適用涉外民事法律適用法第25條所規範之關係最切地的法律,如被告於涉外營業秘密侵權事件中為營業秘密無效性之抗辯,則應定性係權利本身的問題而適用涉外民事法律適用法第42條採保護國法。 最後本文以梁孟松一案為範例,套用本文架構之國際私法上營業秘密侵害之處理流程,得出我國法院應如何處理之結論,並期許本文得以為實務提供一套針對營業秘密涉外案件之處理流程。
